1. Introduction
Welcome to UE Agency. These Terms and Conditions ("Terms") govern your access to and use of the UE Agency website, platform, dashboards, applications, recruitment tools, services and related features (collectively referred to as the "Platform").
UE Agency provides a self-service recruitment platform designed to facilitate interactions between job seekers, independent contractors, employers, businesses and other users seeking recruitment-related services.
By using the Platform, you agree to comply with these Terms, our Privacy Policy and any other policies, notices or service-specific terms published by UE Agency from time to time.
2. Nature of the UE Agency Platform
UE Agency operates primarily as a technology-enabled recruitment platform. The Platform provides tools that allow users to create profiles, publish opportunities, search for opportunities, submit applications, communicate information and participate in recruitment-related activities.
Unless expressly stated otherwise for a particular service, UE Agency does not itself become the employer, employee, contractor or hiring party solely because a user uses the Platform.
Employment, contracting and engagement arrangements are generally entered into directly between the relevant parties.
UE Agency does not guarantee that a job seeker will obtain employment, that an employer will find a suitable candidate, or that a contractor will receive an engagement through the Platform.
3. Platform Services
Depending on the user's account type and available features, the Platform may provide services including:
- Job seeker registration and professional profiles.
- Employer and client registration.
- Job and opportunity publishing.
- Job searching and candidate searching.
- Online job applications.
- Candidate and opportunity matching.
- Independent contractor opportunities.
- Recruitment-related tools and self-service workflows.
- Career, resume, interview and job-matching services where available.
- Digital payments and platform-based service purchases.
- Notifications, messaging and other recruitment-related functionality.
UE Agency may add, modify, suspend or discontinue Platform features from time to time.
4. User Eligibility
- Users must be legally capable of entering into binding agreements.
- Users must provide accurate, complete and current information when creating and maintaining an account.
- Users must not create an account using another person's identity or credentials without lawful authority.
- Where a service requires a minimum age or additional eligibility requirements, the user must satisfy those requirements.
- Businesses and employers are responsible for ensuring that persons acting on their behalf have appropriate authority.
5. Account Registration and Security
Certain Platform functionality requires the creation of a user account.
Users are responsible for:
- Providing truthful and accurate registration information.
- Keeping account information current.
- Maintaining the confidentiality of passwords and login credentials.
- Using reasonable security measures to protect their account.
- Immediately notifying UE Agency if they suspect unauthorised access.
Users are responsible for activity performed through their account where that activity results from their failure to maintain appropriate account security.
UE Agency may implement security controls including authentication, verification, account restrictions, login protection and other measures designed to protect the Platform and its users.
6. Job Seekers and Candidates
Job seekers are responsible for ensuring that information contained in their profiles, CVs, applications and other submissions is accurate and not misleading.
- Qualifications and experience must not be falsely represented.
- Users must not submit fraudulent CVs or documents.
- Users must not apply using another person's identity.
- Users must not intentionally provide false employment history.
- Users must comply with applicable recruitment and employment requirements.
By submitting an application, a job seeker understands that relevant application information may be made available to the employer or client responsible for the relevant opportunity.
Submission of an application does not guarantee an interview, offer, employment or engagement.
7. Employers, Clients and Job Posters
Employers and other users posting opportunities are responsible for ensuring that their job listings and recruitment activities are lawful, accurate and genuine.
Job posters must not:
- Publish fraudulent or non-existent employment opportunities.
- Misrepresent compensation, duties, qualifications or employment conditions.
- Request unlawful payments from applicants.
- Use the Platform for discriminatory or unlawful recruitment practices.
- Collect unnecessary personal information from candidates.
- Publish misleading, abusive, offensive or prohibited content.
- Use the Platform to facilitate scams or other unlawful activities.
Employers and clients remain responsible for their hiring decisions, employment relationships, contractual arrangements and compliance with applicable laws.
8. Independent Contractors
Where the Platform facilitates independent contractor opportunities, contractors and clients are responsible for establishing and maintaining the terms of their engagement.
Unless expressly agreed otherwise in writing, UE Agency does not become a party to an independent contractor agreement merely because the parties met or communicated through the Platform.
Contractors are responsible for accurately representing their qualifications, experience, availability, rates and capabilities.
9. Job Listings and Applications
UE Agency may provide tools that allow employers to publish job opportunities and job seekers to submit applications.
UE Agency may review, restrict, remove or reject listings, applications, profiles or other content where we reasonably believe that such content violates these Terms, applicable law, Platform policies or the safety and integrity of the Platform.
UE Agency does not guarantee the accuracy, availability, legitimacy or suitability of every job listing, candidate profile or user submission.
10. Recruitment Matching and Automated Features
The Platform may use search, matching, ranking, filtering, recommendation or automated processing features to help users discover relevant recruitment opportunities.
Such features are intended to assist users and do not constitute a guarantee that a candidate is suitable for a position or that a job opportunity is suitable for a particular candidate.
Users remain responsible for reviewing information and making their own recruitment, employment and contracting decisions.
11. Platform Content and User Submissions
Users may submit information including CVs, profiles, photographs, job descriptions, company information, applications, documents and other content ("User Content").
Users retain ownership of their lawful User Content. However, by submitting User Content to the Platform, users grant UE Agency the permissions reasonably necessary to host, store, process, display, transmit and otherwise use that content for the purpose of operating and providing the Platform and requested services.
Users are responsible for ensuring that they have the necessary rights and permissions to submit User Content.
12. Prohibited Activities
Users may not use the Platform to:
- Commit or facilitate fraud, scams or unlawful activities.
- Attempt to gain unauthorised access to the Platform or another user's account.
- Introduce malicious software, harmful code or security threats.
- Scrape, harvest or systematically collect Platform data without authorisation.
- Impersonate another person or organisation.
- Publish discriminatory, abusive, threatening or unlawful content.
- Interfere with the operation, security or availability of the Platform.
- Use automated systems to access the Platform in a manner not authorised by UE Agency.
- Attempt to bypass Platform security, account restrictions or payment controls.
- Use the Platform for purposes unrelated to legitimate recruitment or services offered through UE Agency.
13. Fees, Payments and Platform Services
Certain services, features or transactions available through the Platform may require payment.
Applicable prices, service fees, credits, tokens or other charges will be displayed through the relevant Platform interface or applicable service information before a charge is made, where reasonably practicable.
UE Agency may change its pricing, introduce new paid services or discontinue existing paid services subject to applicable law and any commitments already made to users.
Where the Platform uses prepaid balances, tokens, credits or similar digital units, such units may only be used for the services for which they are made available and do not constitute cash, a bank deposit or legal tender.
Payments may be processed through third-party payment providers. Users may also be subject to the terms and conditions of those payment providers.
Unless otherwise stated for a particular service, purchasing a Platform service does not guarantee employment, recruitment, placement, hiring or any particular outcome.
14. Refunds and Cancellations
Refund eligibility may depend on the specific service purchased, the stage at which the service is cancelled, whether the service has already been consumed and applicable law.
Where a service has its own refund or cancellation rules, those rules will apply in addition to these Terms.
Users should review the applicable service information before completing a purchase.
15. Privacy and Personal Information
UE Agency collects and processes personal information in accordance with its Privacy Policy and applicable data-protection legislation.
Users acknowledge that recruitment activities require the processing and sharing of relevant information between appropriate parties. For example, an application may require relevant candidate information to be made available to the employer or client associated with the opportunity.
Users should review the UE Agency Privacy Policy for further information regarding the collection, use, storage, disclosure and protection of personal information.
16. Verification and Background Information
UE Agency may provide or integrate verification-related features, where available.
Verification status does not constitute a guarantee of a user's identity, qualifications, conduct, financial position, employment suitability or future performance.
Users remain responsible for conducting any additional checks they consider necessary before entering into an employment or contracting relationship.
17. Third-Party Services and Integrations
The Platform may integrate with or provide access to third-party services, including payment processors, communication providers, verification providers, analytics services, hosting providers and other technology services.
Third-party services may be governed by their own terms and privacy policies.
UE Agency is not responsible for the independent operation, availability, policies or performance of third-party services, except to the extent required by applicable law.
18. Platform Availability and Maintenance
UE Agency aims to maintain the availability and reliability of the Platform but does not guarantee uninterrupted or error-free access.
The Platform may occasionally be unavailable because of maintenance, upgrades, technical failures, security incidents, network interruptions or circumstances beyond our reasonable control.
19. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform and its services are provided on an "as available" basis.
UE Agency does not warrant that:
- A user will obtain employment or a contract.
- An employer will find a suitable candidate.
- A job listing will remain available for a particular period.
- User-provided information will always be accurate.
- The Platform will always operate without interruption or errors.
- A particular recruitment outcome will be achieved.
20. Employment and Recruitment Decisions
Users are responsible for their own employment, recruitment and contracting decisions.
Employers and clients are responsible for evaluating candidates, conducting interviews and checks where appropriate, making hiring decisions and complying with applicable employment legislation.
Job seekers and contractors are responsible for evaluating opportunities, employers and clients before entering into any employment or contracting relationship.
21. Liability
To the maximum extent permitted by applicable law, UE Agency will not be responsible for indirect, incidental, consequential or special losses arising from a user's use of the Platform or from interactions or agreements between users.
This includes, where legally permitted, losses arising from employment decisions, failed recruitment processes, user disputes, inaccurate information supplied by users, workplace incidents, contractual disagreements or the conduct of another user.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable South African law.
22. User Disputes
Where a dispute arises between users, including job seekers, employers, clients or contractors, the parties should first attempt to resolve the matter directly.
UE Agency may, where appropriate, provide reasonable administrative assistance concerning Platform records or transactions, but does not automatically act as a mediator, arbitrator or legal representative for either party.
23. Account Suspension and Termination
UE Agency may suspend, restrict or terminate an account where it reasonably believes that a user:
- Has breached these Terms or another Platform policy.
- Has provided fraudulent or materially misleading information.
- Has engaged in unlawful or abusive activity.
- Has compromised Platform security.
- Has misused another user's information.
- Has failed to comply with applicable payment obligations.
- Presents a significant risk to other users or the Platform.
Where appropriate and legally permissible, UE Agency may provide notice and an opportunity to address the relevant issue.
Users may request closure of their account, subject to outstanding obligations and applicable legal or regulatory requirements.
24. Intellectual Property
The UE Agency name, branding, logos, Platform software, designs, interfaces, text, graphics and other Platform materials are owned by or licensed to UE Agency unless otherwise indicated.
Users may not copy, reproduce, modify, distribute, sell, reverse engineer or commercially exploit Platform materials without appropriate authorisation.
25. Changes to the Platform and These Terms
UE Agency may update, modify or discontinue parts of the Platform from time to time as the service develops.
We may also update these Terms to reflect changes in the Platform, services, technology, business practices or applicable law.
The updated version will be published on the Platform with a revised "Last Updated" date.
Continued use of the Platform after an updated version becomes effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
26. Governing Law
These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory rights or protections available to users under applicable law.
Any legal proceedings arising from these Terms or the use of the Platform will be subject to the jurisdiction of the appropriate courts of South Africa, unless applicable law requires otherwise.
27. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the extent necessary, and the remaining provisions will continue to apply.
28. Entire Agreement
These Terms, together with the UE Agency Privacy Policy and any applicable service-specific terms or policies, constitute the agreement governing your use of the Platform, subject to any separate written agreement that may apply to a particular service or business relationship.
